Roles & Responsibilities:
- Ensure Everledger Intellectual property is at all times protected during any commercial contract negotiation Work on a wide variety of commercial contract matters, including SAAS agreements, software licensing and service agreements with clients and partners, client and consumer terms and conditions, IT service contracts and data licensing / analytics / processing agreements
- Negotiate or appropriately outsource the negotiation of commercial transactions
- Responsible for the safety and legal security of the global organisation, including anticipating matters of legal risk and exposure, and providing timely advice to manage risk
- Advise on corporate acquisitions, disposals and other corporate projects relating to the Everledger group
- Advise on compliance across all aspects of global privacy law and regulation, including data protection, retention, security and breach rules
- Provide all specialist legal advice and subject matter resources required to support all functions within Everledger, including via sourcing and managing an outsourced panel of advisers
- Overall responsibility for underlying contracts and legal documents including the establishment of processes for timely and accurate use by others
- Ensure that operational legal activities are designed to support the strategic goals of the company.
- Ensure organisational compliance and risk management is actively attended to globally and develop contingency plans where necessary to ensure operations continue effectively.
- Supporting the development of (blockchain related) smart contracts in client delivery from time to time.
- Corporate Governance and Company Secretary activities Oversee and administer the legal structuring of global operations including the establishment of entities and their ongoing governance requirements in each jurisdiction.
- Establish the Company Secretarial responsibilities of the Board including the convening of Board Meetings and AGMs, the appointment and cessation of Directors, agendas, minutes and all associated regulatory obligations.
- In collaboration with the CEO and Board, maintain expectations about delegations of responsibility and Board/Executive distinctions.
- Promote the corporation’s values and model behaviours that demonstrate high ethics, integrity and commitment to the organisation’s values and leadership principles.

REQUIREMENTS:
- Experience (likely 5-7 years) as a commercial lawyer advising across a broad range of issues
- Law degree
- Company Secretary experience
- Excellent leadership, foresight, judgement and influencing skills
- Flexibility and broad ranging experience to work on a diverse range of legal matters, including direct liaison and management of external and specialist legal panel support.
- Exceptional interpersonal skills, with a commitment to professionalism and collegiality.
- Hardworking, well-organized and able to manage numerous projects simultaneously in a fast-paced environment.
- Ability to travel as required (domestic and international).
- Desirable Experience working across multiple jurisdictions (and/or has managed global outsourced partners)
- Experience with IPOs, trade sales or other exits advantageous
- Good judgement, foresight and influencing skills
